MINUTES FOR MEETING HELD JUNE 18, 2012

The meeting began at approximately 10:06 p.m. Mr. Coffey moved, second by Mr. Fortier to go into executive session with division on the status of (and strategy with regard to) the Micari and Bouchard litigation matters and advice on other legal issues including the upcoming conference call with outside pension counsel.
Mr. Carey moved, second by Mr. Coffey to come out of executive session at approximately 11:50 a.m. Unanimous decision The meeting was adjourned.
No motions were made outside of executive session. Ms. Kemp was instructed to contact outside counsel and obtain information from them in preparation for the conference call as discussed in executive session.
